Students will examine primary texts by Legalist and Confucian philosophers from a comparative perspective in order to understand their general legal philosophies and how each school treated particular legal issues. To understand the implications and influences of these ideas, the course will study real legal codes and judgments in traditional China. The goal of the course is for students to gain an understanding not only of the legal philosophies of these thinkers and how they influenced traditional Chinese legal practices, but also their relative merits and shortcomings to one another and to Western legal ideas. International Arbitration (3 credits) Instructor TBA This course provides an overview of international arbitration as a mechanism for the resolution of international commercial disputes. It will explore the fundamental elements of international arbitration, and then look at features specific to international arbitration involving Chinese parties (both within and outside of mainland China). The course will include practice modules, and the semester will conclude with an overview of the specific considerations relevant to investment treaty arbitration, particularly as relating to Chinese companies investing abroad. International Capital Market and M&A Transactions (2 credits) Instructor TBA This course will introduce students to the basics of the law and practice of capital market and M&A transactions from a global perspective, and to the role of lawyers and investment bankers in the process of deal making and execution. Part 1 of the course will begin with an introduction to mechanisms of capital raising with special reference to the global financial market. Part 2 of the course will begin with discussions of economics and strategies of cross-border M&A transactions by studying important cases including Arcelor-Mittal and NYSE-Deutsche Borse.
